Refer-a-friend terms and conditions

The Refer-a-friend program ("Program") is administered by Proxyclick SA, Rue Saint-Hubert 17, 1050 Brussels, Belgium and is governed by these terms and conditions (the "Terms"). By participating in the Program, you agree to be bound by the Term as modified or amended by Proxyclick from time to time.

2 Program

Proxyclick offers the chance to its clients (the "Referrer") to refer friends (the "Referee") to Proxyclick in exchange for a reward under the conditions as set forth hereunder. The Program is available worldwide.  

2.1 Eligibility

• Be above 18 years old; 
• Be an existing user of Proxyclick, i.e., your professional work email address is registered as a user on a paid Proxyclick subscription. 

2.2 Refer a friend

To validly refer a friend, you must share with them the following link proxyclick.com/redeem-2-months and invite them to fill out the form in order to schedule a Proxyclick demo. Only Qualified Referrals give the right to a Reward for the Referee.

2.3 Qualified Referral

A Qualified Referral means that all the following cumulative conditions are met:

• The Referee is an employee of or works for a legal entity that is a good fit to implement the Proxyclick solution.
• The Referee is not yet a client or user of Proxyclick.
• The Referee filled out the dedicated form on the proxyclick.com/redeem-2-months page with accurate and complete information, including the Referrer's email address linked to a Proxyclick's subscription.
• The Referee attended a demo of the Proxyclick product presented by a member of the Proxyclick sales team.

2.4 Referrer's Reward

For each Qualified Referral, the Referrer who participated in the Program in good faith and following these Terms will be sent one $50 (in local currency, e.g. EUR 50, USD $50, SGD $50, etc.) Amazon (or equivalent if unavailable in the country of the Referrer) gift card (the "Gift Card").

In addition to the above, for each Qualified Referral who then purchases a Proxyclick subscription, the Referrer will receive an additional Gift Card of equivalent amount.

Reward Conditions:

• Gift Cards are sent to the email address filled out by the Referee after verification by Proxyclick that it is linked to a Proxyclick account.
• Gift Cards are subject to the issuer's terms and conditions (for example, Amazon gift card will be Amazon's gift card terms and conditions).
• Gift Cards are not transferable, auctioned, traded, bartered, or sold.
• Unredeemed Gift Cards that pass the expiry date will be forfeited.

2.5 Referee's Reward

A Qualified Referee who purchased a Proxyclick subscription within the 6 months following the Proxyclick demonstration mentioned under Article 4 shall receive a 2-month discount on their subscription.

3. Legal Conditions

Proxyclick reserves the right to disqualify any participant from the Program at any time at its sole discretion if it suspects that such participant violated these Terms or any applicable laws.

By participating in the Program, Referrers and Referees agree to defend, indemnify, release and hold harmless Proxyclick, affiliates, and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys, and agents including, without limitation, their respective advertising, and promotion entities and any person or entity associated with the production, operation or administration of the Program from any claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to Referrers or Referees' participation in the Program.

• Late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, unreliable, form entries;
• Late, lost, stolen, misdirected, unreadable gift cards;
• Telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors;
• Data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials;
• Claims, demands, and damages in disputes among Referrers or between Referrers and Referees; or
• Any other injuries, losses, or damages of any kind resulting from acceptance, possession, or use of a Reward, or from participation in the Program, that was not reasonably foreseeable to Proxyclick at the relevant time.

4. General Terms

These Terms constitute the entire agreement between you and Proxyclick concerning this Program. The failure of Proxyclick to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

If any provision of these terms is found by a court of competent jurisdiction to be invalid, Proxyclick and Referrers nevertheless agree that the court should endeavor to give effect to the intentions reflected in the provision and that the other provisions of these terms shall remain in full force and effect. The section titles in these terms are for convenience only and have no legal or contractual effect. A person who is not a party to these terms shall have no right to enforce or receive the benefit of any of these terms.

5. Governing law and jurisdiction

These Terms are exclusively governed by Belgian law. The francophone courts of Brussels, Belgium shall have exclusive jurisdiction regarding any dispute arising out of these Terms or related to the Program.

6. No sponsorship

Amazon is not a sponsor of this promotion. Amazon Gift Cards cannot be transferred for value or redeemed for cash. Find Amazon terms and conditions here.
